Which Business Structure Should You Choose?

Kenya has four main business structures. The right one depends on your situation.

For most small businesses and freelancers: start with a sole proprietorship or partnership. It is cheap, fast, and sufficient for most purposes.

For businesses with employees, investors, or significant assets: register a limited company. The limited liability protection means your personal savings and property cannot be seized if the business has debts.

Option A โ€” Register a Sole Proprietorship or Partnership

This is the simplest and cheapest option. Your business trades under a business name that you register with the Business Registration Service (BRS).

Step 1 โ€” Create an eCitizen Account

Go to ecitizen.go.ke and create an account using your national ID number and phone number. You will receive a verification SMS.

Step 2 โ€” Search for Your Business Name

Before paying anything, check that your preferred business name is available:

  1. Log in to eCitizen
  2. Click Business Registration Service
  3. Click Business Name Search
  4. Type your preferred name and search
  5. If available, note it down โ€” you have not reserved it yet

Tips for choosing a name:

  • Avoid names too similar to existing registered businesses
  • Avoid names containing "Kenya", "National", "Government" without special approval

Step 3 โ€” Complete the Application

Option B โ€” Register a Limited Company

A limited company (Ltd) is a separate legal entity from its owners. The process takes slightly longer but provides significantly more legal and financial protection.

Step 1 โ€” Reserve Your Company Name

  1. Log in to eCitizen โ†’ Business Registration Service
  2. Click Company Name Reservation
  3. Search for your preferred name
  4. Reserve it โ€” pays KES 150 and holds the name for 30 days

Step 2 โ€” Prepare Your Documents

You need:

  • Memorandum and Articles of Association (BRS provides a standard template)
  • Details of all directors (name, ID number, address)
  • Details of all shareholders and their shareholding percentage
  • Registered office address in Kenya
  • Statement of nominal share capital

Step 3 โ€” Submit the Application

  3. Upload all required documents
  4. Pay registration fee: KES 10,650

Step 4 โ€” Certificate of Incorporation

After Registration โ€” What to Do Next

Once registered, complete these steps immediately:

Get a KRA PIN for the Business

Every registered business needs a KRA Personal Identification Number (PIN) for tax purposes.

  1. Go to itax.kra.go.ke
  2. Click New PIN Registration
  3. Select Non-Individual (for companies) or Individual (for sole proprietorship)
  4. Fill in business details and upload Certificate of Registration
  5. Your PIN is issued instantly by email

This is free. Never pay anyone to get a KRA PIN.

Open a Business Bank Account

Take these documents to any Kenyan bank:

  • Certificate of Registration or Incorporation
  • KRA PIN certificate
  • National ID of all directors/owners

Skipping the KRA PIN. Without a KRA PIN, you cannot issue official receipts, file tax returns, or open certain bank accounts. Get it the same day you receive your registration certificate.
